BEFORE THE CITY COUNCIL OF BATESVILLE, ARKANSAS
RESOLUTION 44 /
Whereas, Banquet Foods Corporation has presented to the
City Council of Batesville, Arkansas, a request that they
be granted an easement and right-of-way for the purposes of
constructing a spur railroad track from a line of the Missouri-
Pacific Railroad Company to their plant located in the City of
Batesville, and,
Whereas, the City Council, meeting in regular session, has
agreed, by a majority vote, that the granting of such an easement
would be to the best interest of Banquet Foods Corporation and
the City of Batesville, Arkansas,
NOW THEREFORE, be it resolved:
(1) That the mayor and the city clerk of the City of
Batesville, Arkansas, be, and they are hereby, authorized and
empowered by the City Council to execute the proposed easement
and right-of-way grant, to Banquet Foods Corporation, a copy of
which is marked as Exhibit "A" and attached hereto, and incor-
porated herein by reference.
(2) That the seal of the City of Batesville, Arkansas shall
be affixed to the easement when executed and this resolution
shall be made a part of the minutes of the meeting of the City
Council.

EASEMENT AND RIGHT OF WAY GRANT
THIS INDENTURE, made and entered into on this 12th day of June,
1973, by and between the City of Batesville, of Independence
County, Arkansas, Party of the First Part, and the Banquet Foods
Corporation, Party of the Second Part, WITNESSETH:
For and in consideration of the sum of $10.00 and other good
and valuable consideration to it paid, the receipt of which is
hereby acknowledged, the Party of the First Part has agreed and
does hereby agree to permit the Party of the Second Part%,,to lay a
railroad track and construct the necessary crossings over and
across Ramsey Street, Allen Street and Stadium Drive.
The Party of the First Fart does therefore hereby grant and
convey an easement and right of way to the Party of the Second
Part, its successors and assigns, to a certain strip of land, 25
feet in width, being 12h feet on each side of the center line of
the certain railroad track which will be constructed across the
premises of the Party of the First Part# described as follows:
From the intersecting easterly line of River Street
and the center line of Missouri Pacific Railroad's
Track No. 10 (freight house spur) measure southeast-
wardly one hundred forty seven (147) feet along a
curve to the left having a radius of four thousand
five hundred and eighty four (4,584) feet, the
tangent to said curve making an an* of sixty one
degrees and thirty minutes (610301) with said street
line, said curve being the center line of Track No.
10, for the point of beginning; thence continue
southeastwardly along tangent of said centerline
of Track No. 10, twenty nine and sixty two hundredths
(29.62) feet; thence southeastwardly along a straight
line which makes an angle of six degrees forty four
minutes (60441) to the left of last described course,
one hundred forty eight and sixty one hundredths (148.61)
feet to a point; thence northeastwardly along a curve to
the left having a radius of five hundred seventy three
and sixty nine hundredths (573.69) feet, three hundred
one and - sixty six hundredths (301.66) feet to the point
of tangent of said curve; thence continue northeastwardly
along a straight line one hundred fifty six and sixty
five hundredths (1516.65) feet to a point; thence South-
eastwardly along a curve to the right having a radius
of five hundred seventh three and sixty nine hundredths
(573.69) feet, two hundred seventy-three and five tenths
(273.5) feet to the point of tangent of said surve;
thence continue southeastwardly along a straight line,
six hundred twixty two and six tenths (662.6) feet,
more or less, to the eastern line of Ramsey Street.
For a more particular description, and as explanatior^ . -`•
reference is made to the attached plat# which is hereby
of this indenture, for the purpose of showing the exa%
of the easement and right of way hereby granted.
To have and to hold said premises unto the Party of the Second
Part, its successors and assigns, provided said track is constructed
and maintained in accordance with the following expressed
conditions:
(1) The crossing and incidental street construction shall be
constructed and maintained by the Party of the Second Part at its
sole expense, in a good and workmanlike manner.
(2) The Party of the Second Part agrees to maintain, at its
sole expense, the right of way at and around said street crossings,
free from grass, trees, bushes, shrubs, or other growing vegetation
which may obstruct the view of the pedestrians or vehicle operator
using said streets and to keep the right of way paved to the same
height as adjoining pavement.

(3) The Party of the Second Part shall indemnify and save
harmless the Party of the First Part from all liability for loss,
damage or injury, including all expenses instant thereto, growing
out of or caused by the construction, operation, and maintenance
of said railroad track, and shall, on notice, conduct the defense
of any actions therefor.
(4) Nothing in this easement shad be construed so as to
require the City of Batesville to replace any tracks it may damage
should it be necessary to work on sewer or water lines existing
in the street(s) or any other place where the tracks cross
existing water or sewer easements.
(5) This easement covers only that portion of the captioned
description which crosses city streets.
IN WITNESS WHEREOF, and in accordance withthe resolution
heretofore adopted by the Batesville City Council, the Mayor and
Clerk of the City of Batesville hereby set their hands and seals.

qualified and acting, within and for the said county and state,
appeared in person the within named Peyton Golden and Marvin R.
Smith, to me personally well known, who stated that they were
the Mayor and City Clerk, respectively, of the City of Batesville,
Arkansas, and were duly authorized in their respective capacities
to execute the foregoing instrument for and in the name and behalf
of said corporation, and further stated and acknowledged that they
had so signed, executed and delivered said foregoing instrument
for the consideration, uses and purposes therein mentioned and
set forth.
